By-Laws of the Suncrest Park Association

Article One
MEMBERSHIP

Section 1.

The membership of the association shall consist of (1) Class A Members, and (2) Associate Members.

Section 2, Class A Members:

(a) Class A Memberships Boundaries: Class A Members shall be all property owners of a lot or lots in the following developments as designated on the approved Suncrest Park Association official development map and the boundaries shown thereon: Suncrest, Lakeridge, Sunridge, Suncrest Estates, Cimmeron Estates, Suncrest Park Estates, Suncrest North Addition #1, Blackstone (plotted lots Phase One only), Sunview Estates (plotted lots 4 - 7 only) and Quail Run Estates (Phase One). Any property owners in new developments or additions outside the membership boundary set forth above, in whole may petition, in writing, for inclusion into the membership boundaries at the general membership meeting. A petition fee of Two Thousand Five hundred dollars ($2500) per platted lot shall accompany such petition. In order to effectuate such inclusion, the process for amendment to these By-Laws set forth in Article Four, Section 3 must be followed.

(b) Class A Membership Voting Rights: Class A Members shall be the only voting members of this Association. A Class A Member shall have only one vote per lot as provided in Article XII of the Associations Articles of Incorporation.

(c) Use of Association's Facilities by Class A Members: An immediate family member (grandparents, spouse, children and grandchildren) of a Class A member, residing in the home, showing proof of relationship with any validly issued identification, be entitled to full use of all facilities, subject to all rules and regulations of the Association, its Articles of Incorporation and its By-Laws.

(d) Transfer of Ownership: Upon termination of the ownership of a home or lots by sale, transfer or otherwise, the Class A Member status of said owner shall automatically terminate.

Section 3, Associate Class Members:

(a) Qualifications of an Associate Class Member: Associate Class Members shall be property owners residing outside the Class A Membership boundaries set forth in Article One, Section 1 who reside only in the additions commonly described as "Suncrest Addition" or those bordering the north side of Highway 291 from Swenson Road to Jergens Road. Any individual who qualifies for membership as an Associate Class Member shall annually apply for such membership through application made to the Association's Board of Directors. The Association's Board of Directors shall review and determine eligibility based upon the application and admit such individual solely at its discretion. An application for Associate Class Member status does not guarantee the application shall be admitted as an Associate Member.

(b) No Voting Rights: an Associate Class Member shall have no right to vote on an Association matter.

(c) Use of Association's Facilities by Associate Class Members: An immediate family member (grandparents, spouse, children, grandchildren) residing in the home of the Associate Class Member shall, after showing proof of such relationship with any valid identification, be entitled to full use of all facilities, subject to all rules and regulations of the Association, its Articles of Incorporation and its By-Laws.

(d) Termination of Status: An individual's status as an Associate Class Member shall terminate automatically annually.

Section 4, Number of Class A and Associate Class Members:

Total membership of this Association shall be limited to four hundred (400) with the number of Associate Class Members limited to sixty (60). The Association Board of Directors may reduce the available Members of Associate Class Members below sixty (60) should the number of Class A Members exceed three hundred forty (340).

Section 5, Meetings:

The annual meeting of the membership of the Suncrest Park Association shall be held on the first Saturday of February unless another date is set and made public. Notice of said meetings shall contain the nominees for new directors selected by the nominating committee, proposed assessments and proposed By-Laws amendments. Additional nominations and assessment proposals may be made at this time at the direction of the Board of Directors of the corporation, or by the president, upon written request, signed by 25% of the members entitled to vote. All meeting areas must be made specific by notice. Notice will be given by U.S. Mail postmarked no later than 30 calendar days before the annual meeting.

Section 6, Quorum:

At any meeting of the corporation a majority of the Class A Members entitled to vote, so present, shall constitute a quorum necessary for the transaction of business. Each Class A Member entitled to vote shall be entitled to one vote per lot. The vote of a majority of the votes entitled shall be necessary for the adoption of any matter voted upon by the members, unless a greater proportion is required by law, the Articles of Incorporation or these By-Laws.

Section 7, Suspension of Violation of Rules:

The Board of Directors may enact such rules and regulations as may be necessary for the use of the Association facilities and may provide for the suspension or revocation of membership for infractions thereof.

Section 8, Notice of Dues:

Membership shall be on an annual basis from May 1 to April 30. During the month of January each year, the Board of Directors shall cause to have published to existing Class A members a statement of annual dues and place to make application for membership.

Article Two
DIRECTORS
Section 1, Management:

A Board of seven directors shall manage the business and property of the Suncrest Park Association. The Board shall establish rules and regulations deemed appropriate for the use and operation of the property and facilities. Any action of the Board of Directors, including the amount of dues chargeable to members, may be amended or rejected, by a simple majority vote of the entire membership entitled to vote at a regular or special meeting of the membership.

Section 2, Election:

The Directors of the Corporation shall be elected by a majority vote of the members so present entitled to vote at the annual meeting of the membership, and shall take office at the beginning of the corporation year. Class A members, having been a member in good standing for a minimum of one year, are eligible to hold office.

Section 3, Terms:

The term of office of a director of the Corporation shall be for two years. The seven positions will be on a rotating basis whereby four positions terminate in a given year and three positions terminate the following year.

Section 4, Meetings:

The Board of Directors of the Corporation shall hold regular meetings on the second Monday of the Month, one immediately following the annual membership meeting, and such special meetings as the majority of the Board shall deem necessary for the competent management of the affairs of the Corporation. Notice of special meetings shall be given as in R.C.W. 24.03.080 for special meetings of members.

Section 5, Voting:

Each member of the Board of Directors shall possess one vote in matters coming before the Board. All voting at meetings of the Board of Directors shall be by each member in person and voting by proxy shall not be allowed. Four members of the Board shall constitute a quorum.

Section 6, Removal:

Pursuant to the Articles of Incorporation, directors may be removed from office by a two-thirds vote of the entire membership entitled to vote at any regular or special meeting of the membership of the corporation. Notice of the proposed removal of a director must be given to such director prior to the date of the meeting at which such removal is to be voted upon. Such notice to the director will state the cause for the proposed removal.

Section 7, Absence:

Unexcused absence from three consecutive meetings of the Board of Directors shall automatically result in termination of a director. Absence shall be excused by contacting chain of command, submitting written information of assigned duties to a board member prior to the meeting, and contacting a board member after meeting for briefing of minutes.

Section 8, Vacancy:

Any vacancy occurring on the Board of Directors by reason of death, resignation, removal or termination of a director shall be filled by appointment of the majority of the remaining directors. Such appointee shall serve during the unexpired term of the director whose position has become vacant.

Section 9, Election of Officers:

Within a reasonable time after their election, the members of the Board of Directors shall elect from their members the following officers: PRESIDENT, VICE PRESIDENT, SECRETARY, and TREASURER. All such officers shall be officers of the corporation. A board member elected as PRESIDENT must have been a board member in good standing for a minimum of one year in the immediately preceding year.

Section 10, Appointment of Park Committee and Officers:

The members of the Board of Directors may appoint a Park Committee from the membership for the purpose of management, supervision, or recommendations on policy and other matters which the board deems proper, and said committee shall be responsible to the Board of Directors. The Board may also, as it deems necessary, appoint a Park Manager, Assistant Treasurer, Assistant Secretary, or other personnel to assist the Board of Directors in the management and operation of the Association. Compensation to such individuals may be as determined by the Board of Directors.

Article Three
DUTIES OF OFFICERS
Section 1, President:

The President of the Board of Directors shall supervise all activities of the Association, execute all instruments in its behalf, preside at all meetings of the Board of Directors and of the membership of the Association; call such meetings of the membership as shall be deemed necessary and perform such other duties usually inherent to such office.

Section 2, Vice President:

The Vice President of the Board of Directors shall act for the President in his absence and perform such other acts as the President may direct.

Section 3, Secretary:

It shall be the duty of the Secretary of the Board of Directors to keep all records of the Board of Directors and the Association and to perform such other acts as the President may direct.

Section 4, Treasurer:

The Treasurer shall receive and be accountable for all funds belonging to the Association, pay all obligations incurred by the Association when payment is authorized by the President and Treasurer; maintain bank accounts in depositories designated by the Board of Directors; and render periodic financial reports for the annual meeting of the members and Directors and at such other times as requested by the President. The Treasurer shall, at the option of the Board of Directors, be bonded. All disbursement checks shall have the signature of two of the seven board members.

Article Four
GENERAL
Section 1, Audits:

The treasurer shall close the books on January 1. The treasurer shall submit the books and records of the preceding year for audit to a qualified accountant or an auditing committee of no fewer than three (3) members appointed by the Board, before the next annual meeting. The audit committee shall not include any person who was authorized to sign on the bank account for the period being audited. The Suncrest Park Association is a private organization. The books/records belong to the membership and non-members do not have the right to examine those records. The auditor or auditing committee investigates, examines facts, draws conclusions from the facts, and presents a written report of the work to the Board. In all cases, the audit results and the action of the board MUST BE REPORTED to the membership at the annual meeting.

Section 2, Insurance:

The Park Association must provide a minimum of one million dollars ($1,000,000) of liability insurance coverage in case of accident or injuries within Park Association property. Also, appropriate property damage insurance coverage must be provided for structures owned by the Park Association.

Section 3, Amendments:

Any changes in these By-Laws shall be presented in writing to the Board of Directors not less than thirty (30) days prior to the annual meeting. The Board of Directors shall then notify the membership in writing of said changes not later than ten (10) days prior to the annual meeting. A two-thirds majority of eligible voters present and voting shall be required for passage.

Section 4, Supersede:

The By-Laws expressed herein in writing constitutes the entire By-Laws of the Suncrest Park Association. No additional oral or written statement shall add to or supersede any of its provisions, as provided by law.
